How to Change the Registered Agent for a Washington LLP

A registered agent is not a set-it-and-forget-it decision. Several ordinary events force a change, and each of them puts your Washington LLP out of compliance until you update the record with the Secretary of State.

The agent moved

If your agent no longer keeps a physical Washington street address — a partner who relocated out of state, or a service that closed its Washington office — the LLP no longer has a valid agent, even if the old name still appears in the record. The address on file must be a real, current Washington street address where process can be delivered.

The agent resigned

An agent can step down. A commercial service you stop paying will resign you as a client; a partner serving as agent can decide they no longer want the role. A registered agent is even permitted to file a resignation with the state on their own. Once that happens, the LLP has a gap that only a new appointment fills.

You want to switch to a service

Many partnerships start with a partner as agent and later move to a commercial service — to get a home address off the public record, to stop worrying about being available during business hours, or to gain continuity as partners come and go. This is a voluntary change, but it still runs through the same state filing.

The partnership is changing

When partners join or leave, the person who was serving as agent may no longer be with the firm. If your agent is departing, line up the replacement before they go so the LLP is never without a valid agent.

Changing your registered agent is a filing with the Washington Secretary of State's Corporations and Charities Division, done online through CCFS. The change is typically made through an amendment or a dedicated change-of-agent filing tied to your LLP's record.

The steps

1. Log in to CCFS and locate your LLP by its name or UBI number.
2. Open the appropriate change or amendment filing for updating the registered agent.
3. Enter the new agent's information — the agent's name and physical Washington street address.
4. Secure the new agent's consent. Washington requires the incoming agent to consent to the appointment; a commercial service handles this as part of onboarding.
5. Submit and pay any applicable state fee. Online changes are processed relatively quickly.

• Your LLP's exact registered name and its UBI number
• The incoming agent's full legal name and Washington street address
• Confirmation that the new agent has agreed to serve

Timing

Online filings through CCFS are generally processed within a few business days. Until the change is processed, the old agent remains the agent of record, so do not treat the switch as effective the moment you submit — treat it as effective once the state confirms it.

The risk in an agent change is a gap — a window where the old agent has stopped forwarding your mail but the new one is not yet on record. Legal documents delivered into that gap can be missed, and a missed lawsuit can become a default judgment.

Do not let the old agent go before the new one is confirmed

Keep the old agent in place — still receiving and forwarding — until the Secretary of State has processed the new appointment. If you are firing a commercial service, do not cancel it until the state shows the new agent on the record.

Update your internal records

Once the change is live, make sure the partners know where legal documents will now arrive. If the agent's address doubles as a mail destination for state notices, confirm someone is watching that channel.

Confirm the change took effect

After the state processes the filing, look up your LLP in the CCFS business search and verify the new agent and address are showing. A filing you assumed went through but did not is a classic way to end up with a stale agent on record.

A few predictable errors turn a routine change into a compliance problem.

Assuming a move updates itself

If a partner-agent moves, the agent record does not update automatically because they filed a change of address with the post office. The Secretary of State only knows what you file. Moving without updating the state leaves an invalid agent address on the public record.

Naming an agent who has not consented

Washington requires the incoming agent's consent. Listing a friend, an accountant, or a relative as agent without confirming they have agreed can invalidate the appointment and create exactly the gap you were trying to close.

Forgetting the agent is separate from your business address

Changing your principal office address does not change your registered agent, and vice versa. They are distinct fields in the state record. If you move the practice and the agent, you may need to update both — do not assume one filing covers the other.

Letting a resignation sit

If your agent resigns and you do nothing, the clock does not stop. The LLP is out of compliance from the moment there is no valid agent. Treat a resignation notice as urgent and appoint a replacement right away.
