What an EIN Is and Why Every Corporation Needs One

Issued by the IRS, an Employer Identification Number is a nine-digit federal tax identification number. Think of it as the business equivalent of a Social Security number: it identifies your corporation to the federal government for tax purposes and appears on the corporation's tax returns, payroll filings, and bank paperwork.

Why a corporation always needs one

A corporation is a separate taxpayer from its owners. A C corporation files its own federal return; an S corporation files an informational return and passes income through to shareholders. Either way, the entity itself needs its own tax ID — it cannot ride on the owner's Social Security number the way a single-member LLC sometimes can. So unlike some other structures, a corporation needs an EIN no matter its size, even if it is a one-person operation with no employees yet.

What you use it for

  • Filing the corporation's federal income tax return (Form 1120 or 1120-S)
  • Opening the corporate bank account — banks require the EIN
  • Running payroll and handling employment tax withholding
  • Registering for West Virginia state tax accounts, including your Business Registration Certificate
  • Establishing business credit and dealing with vendors who require a tax ID

When to Get Your EIN

Timing matters a little. You want the EIN early enough to open accounts and register with the state, but there is a sensible sequence.

After the Articles, before the bank

The usual order is to file your Articles of Incorporation first, so the corporation legally exists, then obtain the EIN, then open the corporate bank account. The IRS EIN application asks for information about the corporation — its legal name and state — so having the corporation formed first keeps everything consistent. Once you have the EIN, you can open the bank account, register for state taxes, and start operating.

You do not need employees first

A common misconception is that the "Employer" in Employer Identification Number means you need employees to get one. You do not. A corporation gets an EIN regardless of whether it ever hires anyone. The number identifies the entity for tax purposes; hiring employees is just one of many reasons a business uses it.

How to Apply for an EIN

The IRS issues EINs directly, and the application is free. Be careful of third-party sites that charge a fee to "get" an EIN — you can obtain it yourself at no cost, or as part of a formation package.

Applying online (the fast path)

The online application through the IRS EIN Assistant is the quickest route. It takes about ten minutes, and the EIN is issued immediately at the end — you can download the confirmation and use the number the same day. Online applications are available during the IRS's posted hours and must be completed in a single session.

What you will need

  • The corporation's exact legal name as filed in West Virginia
  • The corporation's principal business address
  • The name and Social Security number or ITIN of the responsible party — generally a principal officer or someone who controls the corporation
  • The reason for applying (started a new business) and the type of entity (corporation)

If the responsible party has no SSN or ITIN

The online application requires the responsible party to have a valid Social Security number or ITIN. If yours does not, the corporation applies using Form SS-4, submitted by fax or mail. This route takes longer — days by fax, weeks by mail — so plan accordingly if it applies to you.

The Responsible Party

The IRS requires every EIN application to name a "responsible party," and it is worth understanding who that is because the IRS takes it seriously.

Who qualifies

The responsible party is the individual who ultimately owns or controls the corporation, or who exercises effective control over it — typically a principal officer, a director, or a controlling shareholder. It must be a natural person, not another entity, in almost all cases. The IRS wants a real human it can identify as accountable for the entity.

Keep it current

If the responsible party changes — for example, control of the corporation shifts to a different person — the IRS expects you to update the information using Form 8822-B. It is a small housekeeping item, but keeping the responsible party accurate avoids confusion if the IRS ever needs to reach the corporation.

The EIN and Your West Virginia Registrations

Your federal EIN and your West Virginia state registrations work together, and getting the EIN in place unlocks the state side.

It feeds your state tax registration

When you register your corporation with the West Virginia State Tax Division for your Business Registration Certificate — often done in the same One Stop Business Portal session as your Articles — the EIN identifies the corporation federally and ties the state account to it. Having the EIN ready makes that registration smooth.

It is not the same as a state tax ID

Do not confuse the federal EIN with any state-level tax account number. The EIN comes from the IRS and identifies you federally; West Virginia issues its own registration and account identifiers through the Tax Division. You will use both — the EIN on federal filings and the state account information on West Virginia filings.

How we help

As part of a formation package, we can obtain your EIN alongside the Articles of Incorporation so you have it ready for the bank and your state tax registration without navigating the IRS process yourself. It is one of the pieces we handle so the corporation comes together in the right order and you can get to opening accounts and operating.

Frequently asked questions

Does every West Virginia corporation need an EIN?

Yes. Unlike a single-member LLC, which can sometimes use the owner's Social Security number, a corporation is always a separate taxpayer and needs its own EIN — even a one-person corporation with no employees. You use it to file the corporate tax return, open the corporate bank account, run payroll, and register for West Virginia state tax accounts.

How much does an EIN cost?

Nothing. The IRS issues EINs for free. Be wary of third-party sites that charge a fee just to obtain one — you can apply yourself at no cost through the IRS, or have it handled as part of a formation package. The only reason to pay is if you want a service to manage the whole formation for you, in which case the EIN is bundled with everything else.

How long does it take to get an EIN?

If you apply online through the IRS EIN Assistant, it is immediate — the number is issued at the end of a roughly ten-minute session, and you can use it the same day. If you must apply by fax or mail using Form SS-4 (because the responsible party has no Social Security number or ITIN), it takes longer: days by fax, weeks by mail.

Who is the responsible party on the EIN application?

The responsible party is the individual who ultimately owns or controls the corporation — typically a principal officer, director, or controlling shareholder. It must be a real person, not another entity, in almost all cases. If control of the corporation later changes hands, update the IRS using Form 8822-B so the responsible party on record stays accurate.

Is the EIN the same as my West Virginia state tax number?

No. The EIN is a federal number from the IRS that identifies your corporation nationally. West Virginia issues its own registration and account identifiers through the State Tax Division when you obtain your Business Registration Certificate. You will use both: the EIN on federal filings and your state account information on West Virginia filings.
