What a Limited Partnership Is and Who It Suits

A limited partnership is a business owned by two classes of partners. At least one general partner runs the enterprise, signs contracts, and carries personal responsibility for the partnership's debts. At least one limited partner contributes money or property, shares in profits, and — in exchange for staying out of management — is shielded from personal liability beyond what they invested. That split is the whole point of the structure: it lets people fund a venture without betting their personal assets on it, while leaving control in the hands of the partners actually operating the business.

West Virginia recognizes limited partnerships under its enactment of the Uniform Limited Partnership Act, found in Chapter 47 of the West Virginia Code. The LP exists only once a Certificate of Limited Partnership is filed with the Secretary of State. Before that filing, two or more people carrying on a business for profit are simply a general partnership, where everyone is fully exposed. Filing the certificate creates the two-tier structure and switches on the limited partners' protection.

Who typically forms an LP in West Virginia

  • Real estate and investment ventures — a managing general partner assembles a property or a portfolio and brings in limited partners as passive capital.
  • Family businesses and estate planning — a family limited partnership lets senior family members manage assets as general partners while gifting limited interests to the next generation.
  • Film, energy, and project-based deals — any venture where operators want committed outside money without handing over control.
  • Existing general partnerships that want to bring in silent investors without exposing those investors to unlimited liability.

The bargain every limited partner accepts

Limited liability for a limited partner is conditional. In exchange for the shield, a limited partner generally must not participate in controlling the business. Voting on a narrow set of major decisions, consulting with the general partner, or being an employee is usually fine, but a limited partner who starts managing operations can lose the protection and be treated like a general partner toward anyone who reasonably believed they were one. If you want to both run the business and be shielded, an LP is the wrong tool — an LLC is the better conversation.

How West Virginia Treats a Limited Partnership

In West Virginia, a limited partnership is created and maintained through the Secretary of State's Business & Licensing Division. Almost everything runs through the WV One Stop Business Portal, the state's unified system that ties the Secretary of State together with the State Tax Department and WorkForce West Virginia so a new business registers across those agencies in one flow.

The formation document

The LP comes into existence when the Certificate of Limited Partnership is filed and accepted by the Secretary of State. The certificate is a short public record: it names the limited partnership (the name must contain a designator such as "Limited Partnership," "LP," or "L.P."), gives the address of its principal office, and names a registered agent with a physical West Virginia street address. It identifies each general partner. Notably, it does not require you to list the limited partners or their contributions — those internal details live in your private limited partnership agreement, not in the public certificate.

The general partner runs it; the agreement governs it

Filing the certificate doesn't dictate how the partnership is run. By default, the general partner manages the business and the limited partners are passive. How profits and losses are split, what a limited partner can vote on, when capital calls happen, and how interests transfer — all of that lives in the limited partnership agreement, which is private and never filed with the state. West Virginia's statute supplies default rules that fill any gaps, but a well-drafted agreement is what actually controls.

Taxes

A limited partnership is a pass-through entity for federal tax purposes. The partnership itself pays no federal income tax; it files an information return (Form 1065) and issues a Schedule K-1 to each partner, general and limited, who reports their share on their own return. West Virginia layers its own registration and tax obligations on top, and the One Stop Portal is where you set up the state tax accounts that apply. Because the general partner's income is typically subject to self-employment tax while a limited partner's share often is not, the tax picture differs by partner class — a CPA is the right person to sort that out for your situation.

The Registered Agent Requirement

Every West Virginia limited partnership must name and continuously maintain a registered agent. The agent is the official recipient of service of process — lawsuits, subpoenas, summonses — and of state correspondence such as annual report reminders and administrative notices. The agent's name and address are part of the public record created by your Certificate of Limited Partnership.

What the state requires of the agent

  • A physical street address in West Virginia; a P.O. box alone does not satisfy the requirement.
  • Availability during normal business hours to accept documents in person.
  • Consent to serve in the role.

Your options

A general partner who lives in West Virginia and keeps regular hours can act as the agent, but that partner's address goes into the public record and they have to be reliably present to accept a process server. Many partnerships instead appoint a commercial registered agent so no partner's home address is exposed, so state mail isn't missed when partners travel, and so a lawsuit is handled quietly at the agent's office rather than served in front of investors or clients. That service is included with Mainstay Filing's formation.

Ongoing Obligations Once You Are Registered

Filing the certificate is a one-time event. Keeping the LP in good standing is an annual habit. Partnerships that let the requirements slide can lose good standing and eventually face administrative action against the registration.

Annual report

West Virginia requires an annual report each year, filed through the One Stop Business Portal. The report keeps the state's record current — principal office, registered agent, and contact details. West Virginia's annual report is due by July 1. Missing it puts your LP out of good standing and can lead to administrative action, so it is worth calendaring or handing to a service that files it for you.

Keeping the certificate accurate

If the general partner changes, the registered agent moves or resigns, or the partnership's principal office relocates, you generally have to amend the Certificate of Limited Partnership with the Secretary of State. Because the certificate is public and third parties rely on it, an out-of-date certificate is a real compliance problem, not a formality.

Licensing and local requirements

Registering the LP with the Secretary of State is separate from any professional or occupational licensing your business needs, and from local business requirements in the city or county where you operate. Those run on their own cycles and have to stay current independently.

What Mainstay Filing Does for Your Limited Partnership

Mainstay Filing prepares and submits the Certificate of Limited Partnership that brings your West Virginia LP into existence, so you don't have to learn the One Stop Business Portal from scratch or worry about whether the certificate is complete and correct.

You give us the details the state needs — the partnership's name, its principal office, the general partner information, and your registered agent choice — and we handle the filing and send you the confirmed documents once the state processes them. Registered agent service is included, which keeps a general partner's home address out of the public record and guarantees there is always a professional West Virginia address available to receive legal documents and state mail.

After formation, we can track the July 1 annual report deadline and file it for you, so the LP stays in good standing without anyone on your team having to remember the date.

What we don't do

Keep in mind that we handle filings — we aren't attorneys and we aren't accountants. We don't draft your limited partnership agreement, decide how profits are allocated between the general and limited partners, or advise on how the partnership should be taxed. Those decisions call for an attorney and a CPA — particularly because the general partner carries personal liability and the limited partners' protection depends on staying out of management. What we do is make the state-facing paperwork correct and timely so the partners can focus on the venture.

Frequently asked questions

What is a limited partnership in West Virginia?

It's a business with two classes of owners registered with the West Virginia Secretary of State. At least one general partner runs the business and is personally liable for its debts; at least one limited partner contributes capital, shares in profits, and is shielded from liability beyond their investment as long as they stay out of management. The LP is created by filing a Certificate of Limited Partnership and is governed internally by a private limited partnership agreement.

How is a limited partnership different from an LLC?

An LLC gives every owner a liability shield and lets any member help manage the business. A limited partnership splits owners into two roles: general partners who manage and carry personal liability, and limited partners who are passive and protected. If you want to both run the business and be shielded, an LLC fits better. An LP shines when operators want outside capital from investors who won't be involved in day-to-day control.

Do limited partners have any liability?

Generally their exposure is capped at what they invested — provided they stay out of controlling the business. A limited partner who begins managing operations can lose the shield and be treated like a general partner toward people who reasonably believed they were one. Voting on a limited set of major decisions or acting as an employee is usually permitted, but running the business is not.

Can I form a West Virginia LP if I don't live in the state?

Yes. West Virginia imposes no residency requirement on the general or limited partners. The one in-state requirement is the registered agent, who must have a physical West Virginia street address and be available during business hours. A commercial registered agent satisfies that without any partner needing to live in West Virginia.

When is the West Virginia annual report due?

It's due by July 1 each year and is filed through the One Stop Business Portal. It updates the state's record of your LP's principal office and registered agent. Missing the deadline puts the partnership out of good standing and can lead to administrative action, so it's worth calendaring or handing to a service that files it for you.

How long does it take to form a West Virginia LP?

Processing typically runs about 5 to 10 business days once the Secretary of State receives a complete Certificate of Limited Partnership. If you have a deadline — closing on a property, opening a partnership bank account — file early and allow the full window. Expedited handling may be available for certain filings for an additional state charge.
