West Virginia Agent for Service of Process, Where Naming One Is Optional

West Virginia is the unusual case in this set, because Form LLD-1 asks for the agent for service of process only if any. Without one, lawsuits are directed to the principal office instead. Mainstay's agent service costs $149 a year for owners who want a dependable place for papers, and this page shows how the pieces fit.

One price: $149/yr for your agent for service of process, with compliance reminders. Switching from another agent? The state's change fee is at cost.

What the state's own forms say about the agent

West Virginia's term is agent for service of process, which the state sometimes shortens to agent of process. Form LLD-1, the Articles of Organization revised 09/2026 under W. Va. Code section 31B-2-202, asks for the agent in item 5 with the words if any. The instructions treat it as a choice: you may wish to maintain an agent for service of process in West Virginia.

The Secretary of State's Business & Licensing Division, in Charleston at the One Stop Business Center, is the filing office. The fee is $100, plus a $1.00 online processing fee for online filings, for $101. It is waived for veteran-owned LLCs, and for LLCs with a West Virginia resident member under 30, through the Young Entrepreneur waiver, which is filed on paper with proof.

How service reaches an LLC with or without an agent

The Secretary of State is attorney-in-fact for LLCs when it comes to service of process. The state's guidance says that when an agent name has been filed, service must be directed to the agent. If an agent name has not been filed, service must be directed to the principal office at the address currently listed with the Secretary of State. The office sends the notice by certified mail, and under section 31B-1-111 service is sufficient if the return receipt is signed or the mail is refused.

So the question is not whether papers will find the company. It is where they will land. A principal office that is a home, or a shop you are rarely at, is the address a lawsuit will be sent to if you name no agent.

That is the real choice in West Virginia, and the statute says an LLC "may" maintain an agent, so there is no penalty for not having one.

Who the instructions allow as agent

Section 31B-1-108(b) says an agent shall be an individual resident of this state, a domestic corporation, another limited liability company, or a foreign corporation or company authorized to do business in West Virginia. The word another means your own LLC cannot be its agent. There is no state fee for naming an agent at formation, because it is simply a section of the Articles.

A West Virginia resident can name themselves, and their name and address then appear on a public form. A co-owner, an employee or an attorney who lives in the state can serve. A corporation or LLC that provides agent service, such as a commercial agent with a West Virginia office, falls under the last two categories.

Whoever you name should have agreed before you list them.

Three choices, laid out honestly

Naming no agent costs nothing and leaves nothing to maintain. The trade-off is that lawsuits are directed to your principal office, with notice by certified mail.

Being your own agent costs nothing extra and keeps the papers in your hands. Your address goes on a public form, and you have to be reliably reachable.

A commercial agent puts its address on the record in place of yours. If you move, the agent's address does not change, though the principal office on file still needs updating on Form AAO.

Form AAO, $15

Adding or changing an agent is done on Form AAO, the Application to Appoint or Change Process, Officers, and/or Addresses. The fee schedule lists it at $15, and you can file it online through One Stop, where the state's form says a $1 online processing fee applies to online filings. The same form updates officers and addresses, including the principal office, which matters if you have no agent.

A statement of change under section 31B-1-109 lists the current agent, if any, and the new agent. Until the Secretary of State accepts the filing, service is still directed to the old agent.

When you move to Mainstay we prepare Form AAO, and the state fee is charged at cost.

If your agent resigns, and when the address is stale

A West Virginia agent resigns by delivering to the Secretary of State a record of the statement of resignation. The Secretary of State mails a copy to the designated office and another to the LLC at its principal office, and under section 31B-1-110 the agency is terminated on the 31st day after the statement is filed. The fee schedule lists no resignation fee. So you have about a month to file Form AAO with a replacement, or to decide to go without one.

Because the agent is optional, West Virginia does not penalize an LLC for lacking one. If an LLC fails to maintain an agent, or the agent cannot with reasonable diligence be found at its address, section 31B-1-111 makes the Secretary of State an agent of the company, and the papers go to the individual last named to receive process or else to the principal office.

So keep the principal office current on Form AAO whenever you move. A default judgment is a judgment entered because nobody appeared to defend the company.

The June 30 annual report

The annual report is due by 11:59 p.m. on June 30 and costs $25, plus the $1 online fee. Changing the agent does not change that deadline.

When you file the report, check that the agent and addresses the state shows match what you filed on Form AAO.

None of it is part of what an agent does. The report is a company filing, and the agent role is only about where legal papers are sent.

What an agent would and would not receive

Under section 31B-1-111 the agent is an agent of the company for service of any process, notice or demand required or permitted by law to be served on the company. If your LLC is sued, the summons and complaint are directed to the agent instead of the principal office, which makes that the most important function by far.

An agent is not an accountant or a general mail forwarder. Everyday business mail, marketing and invoices keep going to your regular business address.

When you form through the One Stop Business Portal, the agent details are part of the same filing. Adding or switching one later uses Form AAO.

Price in West Virginia, with the report left out

Mainstay's West Virginia agent service is $149 a year, renewing at $149, with compliance reminders. Filing the annual report is not part of it. A new West Virginia company can use the $199 formation package, which files the report, includes the agent, and adds the Articles of Organization and your EIN application, with the state's fee at cost.

When service of process arrives, we upload a scan of it the same business day, free of charge. Three government mailings a year are scanned free, then per-piece scan or shipping fees apply, and no tier includes free physical forwarding.

Who may serve as agent?

An individual resident, a corporation or another limited liability company, according to the LLD-1 instructions. The LLC itself cannot serve.

How much does it cost to add or change an agent?

$15 on Form AAO, plus the $1 online processing fee if you file through One Stop.

Does the change take effect right away?

Not until the Secretary of State accepts the filing. Until then service goes to the old agent.

How does a West Virginia agent resign?

By delivering a statement of resignation to the Secretary of State, which mails copies to the designated office and the principal office. The agency ends on the 31st day after the statement is filed.

When is the West Virginia annual report due?

By 11:59 p.m. on June 30. It costs $25 plus a $1 online fee.

Does Mainstay's West Virginia price file the annual report?

No. The report is filed by the $199 formation package, and the $149 a year here covers the agent service and compliance reminders.

Haven't formed your West Virginia company yet?

Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, serves as your registered agent and files your annual report, with the state's own fees at cost. For a new company that's the better value, since the agent, the formation and the annual report all come with it. The $149 service on this page is for a company that's already formed and only needs an agent. See how forming in West Virginia works →
