Wisconsin Registered Agent Service With the Required Email Address
Wisconsin asks for something many states do not, an email address for the registered agent, and it repeats the request on the annual report. The Department of Financial Institutions also bars an entity from naming itself as its own agent. Mainstay's Wisconsin service for the role is $149 a year. This page also covers Form 13 and what happens when an agent resigns.

DFI, Chapter 183 and Form 502
Wisconsin files LLCs with the Department of Financial Institutions, Division of Corporate & Consumer Services, rather than a Secretary of State. The Articles of Organization are Form 502, revised May 2026, under section 183.0201 of the Wisconsin Statutes, and the fee is $130 online or $170 on paper.
The Articles give the registered agent's name in Article 3 and the agent's email in Article 4. Article 5 is the registered office street address, and Article 6 is the principal office's street and mailing addresses, which need not be in Wisconsin. Each organizer's name and address follows, and at least one organizer signs. An optional delayed effective date can run up to 90 days after receipt.
Wisconsin says registered agent at a registered office, under section 183.0115. The DFI's FAQ describes the registered agent as the person designated to receive official communications for the entity, such as service of process, annual report forms and tax forms. The Form 13 instructions add that annual report forms, notices and other official communications are directed to the registered agent, so it is important to keep this information current.
What section 183.0115 requires of the agent
The agent must have an e-mail address and a place of business or activity in this state. The statute allows a Wisconsin resident whose business office is the registered office, a domestic entity with that business office, or a foreign entity authorized in Wisconsin with that business office.
The entity may not name itself as its own registered agent. That rules out the LLC itself, though an individual owner can serve.
Wisconsin does not set office hours for agents. What it requires is a real Wisconsin location and a working email.
Not solely a P.O. box, mailbox service or answering service
The registered office has to be an actual physical location with a street address and not solely a post office box, mailbox service or telephone answering service.
The registered office is also the agent's own business office, and it appears on the public DFI record. A home address named as the office is published there.
Three ways to cover the role
A Wisconsin resident whose business office is at a Wisconsin street address can name themselves, at no extra cost. You are on the public record, and DFI mail comes to you as the agent.
Another Wisconsin resident can serve, such as a co-owner, an employee or an attorney, as long as their business office is the registered office and they have an email address. Because DFI directs its notices to the registered agent, a stale agent means you may not see them.
A commercial service puts its own Wisconsin address on the record. Owners outside the state, who otherwise have no Wisconsin address to list, need an agent that has one.
Form 13, $10 online
The change is a Statement of Change, DFI Form 13, and it costs $10 online or $25 on paper. It captures the LLC's exact legal name, the new agent's name and email address and the new registered office address. Filing is online or on paper through the DFI's Division of Corporate and Consumer Services. The Form 13 instructions say entities must obtain the consent of registered agents before naming them.
The DFI says most online filings are accepted on receipt. Afterward, look the LLC up in the DFI corporate search to see the new agent. The state's record does not update itself, and telling the old agent is not the same as filing.
There is another route. Under section 183.0212(5), a registered agent or office on an annual report that differs from the DFI's records is considered a statement of change.
When you move to Mainstay we prepare and file Form 13, and the state's fee is charged at cost. Get the new agent lined up first, so the change leaves no gap.
If your agent resigns
A Wisconsin agent resigns on Form 13R, Resignation of Registered Agent, which costs $10. The agent agrees to promptly send notice of the resignation and the date of its filing to the entity. Under section 183.0117 it takes effect on the earlier of 60 days after the DFI receives it for filing or the effective date of the appointment of a successor registered agent. So you have about two months to file the Statement of Change.
If an LLC has no registered agent, or the agent cannot with reasonable diligence be served, section 183.0119 allows service by registered or certified mail, return receipt requested, or a similar commercial delivery service, addressed to the company at its principal office.
An empty seat can also end the LLC. Being without a registered agent in Wisconsin for at least one year, or not telling the DFI within one year of a change or resignation, is a ground for administrative dissolution under section 183.0708. The DFI sends written notice to the registered agent and then allows 60 days to cure.
The annual report asks for the email too
The annual report is Form 5 and costs $25 online, or $40 on paper once the $15 paper surcharge is added. It states the registered agent's name, email and office, the principal office, and for an LLC the name of at least one manager or member. Blank answers get the report rejected.
That makes the agent's email a recurring detail, not a one-time entry. An agent whose email address has changed or died is a problem you meet again each year.
The report is due at the end of your anniversary quarter.
Delinquency and administrative dissolution
The DFI says delinquency is cured by filing a current report and paying the back report fees. If a report stays missing for a year after its due date, the DFI can give 60 days' written notice and then administratively dissolve the LLC.
Until it is reinstated, a dissolved LLC may only wind up its affairs. Reinstating means curing whatever caused the dissolution and paying the fees owed.
Administrative dissolution notices are addressed to the registered agent, so a stale agent address can hide them.
Owners outside Wisconsin
Article 6 lets the principal office sit outside Wisconsin, but Article 5 does not give the registered office the same freedom. It has to be a physical street address in the state, with an agent who has a place of business or activity there and an email address.
An owner without a Wisconsin address therefore needs an agent that has one. The Articles also ask for the principal office's street and mailing addresses, so keep those current alongside the agent whenever you file a Statement of Change.
Price in Wisconsin, and the quarter-end report
A Wisconsin registered agent from Mainstay is $149 a year, with the same $149 on renewal and compliance reminders included. The annual report is not filed under this service. A new Wisconsin company can use the $199 formation package, which files it, brings the agent with it, and adds the Articles of Organization and your EIN application, with the state's fee at cost.
Mainstay's Wisconsin address and an agent email address would be on the record. Any service of process is scanned and uploaded the same business day, free of charge. Three government mailings each year are scanned at no cost, after which per-piece scan or shipping fees apply. Free physical forwarding is not included on any tier.
