Wyoming LLC Costs — What You Actually Pay
Wyoming is one of the more affordable states to form and maintain an LLC, but the total cost is more than the headline filing fee. This page breaks down every cost you can expect — one-time and recurring, state and optional — so you can budget accurately. The cost card on this page shows our transparent pricing, where the fee displayed is the fee you are charged.

The Two Costs Everyone Has
Every Wyoming LLC faces exactly two mandatory state costs: a one-time formation fee and a recurring annual filing. Understanding these two is most of what you need to budget.
The formation filing fee
To create the LLC, you file the Articles of Organization with the Wyoming Secretary of State and pay the state's filing fee. Wyoming's formation fee is low compared with most states. Filing online through WyoBiz is fastest and adds a small convenience fee on top of the base amount; filing by mail avoids the surcharge but takes considerably longer to process. This is a one-time cost paid at formation. The exact current amounts appear on the cost card on this page.
The annual License Tax
Wyoming calls its yearly filing a License Tax rather than an annual report fee. It is due each year on the first day of your formation's anniversary month, filed through WyoBiz. The tax is calculated on the value of the LLC's assets located and employed in Wyoming, subject to a stated minimum — so most small businesses, especially those with little or no Wyoming-based property, simply pay the minimum. Paying online adds a small convenience surcharge. This is a recurring cost for as long as the LLC exists.
What Wyoming Does Not Charge
Part of what makes Wyoming affordable is the fees other states levy that Wyoming does not.
No franchise tax
Many states impose a franchise tax — a recurring charge just for existing as an entity, often independent of income. Wyoming has none. This is a meaningful difference from states like Delaware and California, where an annual franchise or minimum tax can be a substantial fixed cost regardless of whether the company earns anything.
No state income tax
Wyoming does not tax the income of individuals or businesses. Your LLC's profits pass through to your federal return without a state income tax layer. That is not a "fee" in the filing sense, but it is a real and recurring cost avoided compared with most states.
No inventory or business personal property tax at the state level
Wyoming does not tax business inventory, which matters for product-based businesses. Combined with the absence of income and franchise taxes, this keeps the true cost of maintaining a Wyoming entity low year over year.
Costs That Depend on Your Choices
Beyond the two mandatory state costs, several expenses depend on how you set up and run the LLC.
Registered agent service
If you serve as your own agent with a Wyoming address, there is no separate cost — but you take on the public-record exposure and the always-available obligation. If you hire a standalone commercial registered agent, that is an annual fee. Our service includes the registered agent for every year you stay with us — not just the first — so it never appears as a separate line item.
Formation service fee
You can file the Articles yourself directly with the state and pay only the state fee. Using a service like ours adds one flat yearly fee, in exchange for preparing and submitting the paperwork correctly, handling the WyoBiz portal and its quirks, acting as your registered agent year-round, and preparing and filing the annual License Tax report when it comes due. The cost card on this page shows exactly what that comes to.
Name reservation
Optional. If you want to hold a name before filing, you can reserve it with the Secretary of State for 120 days for a small fee. Most owners skip this and simply file when ready.
Trade name (DBA)
If you plan to operate under a name different from your LLC's legal name, registering a Trade Name with the Secretary of State carries its own fee. In Wyoming this is a mail-only, notarized filing valid for ten years, with a separate renewal fee. It is optional and only needed if you use a different operating name.
Amendments and certificates
Changing your LLC's name or other Articles information later requires an amendment filing with its own fee. Ordering a Certificate of Good Standing — often needed to open certain accounts, secure financing, or register in another state — also carries a small fee. These are occasional, not routine, costs.
Foreign LLC and Multi-State Costs
If your LLC is formed in another state and you are registering it to do business in Wyoming, or if you form in Wyoming but operate elsewhere, budget for the multi-state picture.
Registering a foreign LLC in Wyoming
Qualifying an out-of-state LLC in Wyoming means filing an Application for Certificate of Authority, which carries its own state fee, plus obtaining a Certificate of Good Standing from your home state dated within 60 days — that home-state certificate usually has a fee too. A qualified foreign LLC then files the same annual License Tax as a domestic one.
The double-registration trap
The most commonly overlooked cost is not a Wyoming fee at all. If you form in Wyoming but actually operate in another state, that other state will typically require you to register your Wyoming LLC as a foreign LLC there — meaning you pay formation-style fees, annual fees, and registered agent costs in two states instead of one. For a business that operates in a single state, forming in your home state is often cheaper overall. Wyoming's cost advantage is clearest for location-independent businesses and holding companies that do not create a physical presence elsewhere.
Budgeting Realistically
To budget for a Wyoming LLC accurately, think in two buckets.
Year one
- State formation filing fee (one-time), plus the small online convenience fee if you file through WyoBiz
- Registered agent — part of our yearly service fee, or an annual fee if you hire an agent on your own
- Service fee, if you use one (shown on the cost card)
- Optional add-ons only if you need them: name reservation, trade name, expedited home-state documents
Every year after
- The annual License Tax (most small businesses pay the minimum), plus its small online surcharge
- Keeping an agent in place — a renewal fee if you hired one on your own; with us, the same yearly service fee simply continues, and the License Tax filing comes with it
- Any occasional amendment or certificate fees as needs arise
Because Wyoming has no franchise tax and no state income tax, your ongoing cost is genuinely low — often just the annual License Tax minimum plus the cost of keeping an agent. That predictability is a real part of the state's appeal, and it is why we show the fees plainly on the cost card rather than burying surcharges or padding state charges.
Frequently asked questions
How much does it cost to form a Wyoming LLC?
There is a one-time state filing fee for the Articles of Organization, and filing online through WyoBiz adds a small convenience fee. Beyond the state fee, your cost depends on whether you file yourself or use a service — ours charges a single yearly fee that already carries the registered agent and the annual report filing. The cost card on this page shows our exact pricing, where the displayed fee is the fee you pay.
What are the ongoing costs of a Wyoming LLC?
The main recurring cost is the annual License Tax, filed through WyoBiz on your formation anniversary and calculated on Wyoming-based assets with a stated minimum — most small businesses pay the minimum. If you hired a standalone registered agent, budget that agent's renewal too; customers of ours have no such renewal, since the agent and the License Tax filing continue under the one yearly fee. Wyoming has no franchise tax and no state income tax, so ongoing costs stay low.
Does Wyoming have a franchise tax?
No. Wyoming does not levy a franchise tax, unlike states such as Delaware and California where an annual franchise or minimum tax applies regardless of income. This absence is a major reason Wyoming's total cost of ownership is low over time.
Are there hidden fees when forming a Wyoming LLC?
The main add-ons to know are the small online convenience fee WyoBiz charges on top of the base filing fee, and a similar surcharge on the online annual License Tax. These are the state's charges. We do not mark up state fees — the amounts on the cost card are what you actually pay.
Is it cheaper to form in Wyoming than in my home state?
Not necessarily. If you operate a physical business in your home state, forming in Wyoming often means also registering there as a foreign LLC, so you pay fees and maintain agents in two states. Wyoming is genuinely cheaper mainly for location-independent businesses and holding companies. For a single-state local business, your home state is frequently the lower total cost.
