Wyoming LLC Name Search and Naming Rules

Your LLC's name is the first thing the state evaluates when you file the Articles of Organization. If the name conflicts with an existing entity or breaks a naming rule, the filing is rejected — and a rejected filing means delay, and sometimes a lost filing fee. Checking availability before you file is the single easiest way to keep your formation on schedule.

Wyoming's distinguishability standard

Wyoming requires your LLC name to be distinguishable upon the records of the Secretary of State from every other registered and reserved entity name. "Distinguishable" is a legal test, not a matter of how different the names feel to you. Two names that differ only by punctuation, spacing, capitalization, a plural, or filler words like "the," "a," or "and" may not be considered distinguishable. The state compares your proposed name against all entity types on file — LLCs, corporations, limited partnerships, reserved names, and more — not just other LLCs.

Using the WyoBiz filing search

Then do it again with variations — drop or add the "LLC" designator, try singular and plural forms, swap "and" for an ampersand, and search the distinctive core words on their own. The goal is to surface anything close, not just an exact duplicate, because a close match can still block you under the distinguishability standard.

Read the results critically

• If you find an identical or nearly identical active name, choose a different name
• If you find similar names, consider whether they differ from yours only by minor elements that the state ignores — if so, treat them as conflicts
• Note that inactive or dissolved entities can sometimes still affect availability, so do not assume a name is free just because a similar company appears closed

When you are unsure

Distinguishability calls can be genuinely close. If your preferred name is similar to an existing one and you are not sure whether it will clear, having a second choice ready avoids a scramble if the first is rejected.

Beyond availability, your name has to satisfy Wyoming's substantive naming rules.

Required designator

A Wyoming LLC name must contain a word or abbreviation identifying it as a limited liability company. Acceptable options include "Limited Liability Company," "Limited Company," or an abbreviation such as "LLC," "L.L.C.," "LC," or "L.C." The designator tells the public what kind of entity they are dealing with, and the state will not accept a name without one.

Restricted and prohibited words

• Words implying the company is a government agency are not allowed
• Regulated terms such as "bank," "banking," "trust," or "insurance" generally require approval from the relevant Wyoming regulatory authority before they can be used, because they suggest a licensed activity
• The name cannot imply a purpose the LLC is not organized or authorized to pursue

Keep it consistent everywhere

Whatever exact name you file becomes your legal name for the EIN application, the bank account, contracts, and every other official use. Small inconsistencies — an extra comma before "LLC," a different abbreviation — can cause friction with banks and the IRS. Decide on the precise form of the name and use it identically everywhere.

A couple of Wyoming peculiarities can catch first-time filers off guard.

Names starting with "A"

Wyoming routes entity names that begin with the letter "A" to manual review, and such names generally must be filed on paper rather than through the instant online process. If your ideal name starts with "A," expect a slower path — you lose the same-day online processing and file by mail or a manual channel instead. This is unusual among states and worth knowing before you fall in love with an A-name.

The 30-minute session timeout

The WyoBiz online system times out after about thirty minutes of a filing session. If you are still deciding on a name when the clock runs out, you can lose your progress. Settle your name — and ideally have a backup — before you start the online filing, so you are entering information rather than brainstorming while the timer runs.

Trade names are a separate filing

If you want to do business under a name different from your LLC's legal name, that is a Trade Name registration, filed separately with the Secretary of State. In Wyoming, Trade Name registration is mail-only and must be notarized, and it lasts ten years. It does not form or rename your LLC — it just lets the LLC operate under an additional name.

Once you have a name that is available and compliant, you have a couple of ways to proceed.

Reserve it if you are not ready to file

If you have settled on a name but are not yet ready to file the Articles of Organization, you can reserve the name with the Wyoming Secretary of State for 120 days. Reservation holds the name so no one else can take it while you finish other preparations. It is optional; many owners simply file when they are ready and skip the reservation.

File the Articles of Organization

When you are ready, the name goes into your Articles of Organization, filed through WyoBiz for same-day processing (with the A-name exception noted above). Once the state accepts the filing, the name is yours and appears on the public record.
