The application and the fee
A foreign LLC enters Arkansas with Form FL-01, the Application for Certificate of Registration of Foreign Limited Liability Company, filed with Business and Commercial Services at the Secretary of State (A.C.A. § 4-38-902 and § 4-38-903). The Uniform Limited Liability Company Act that governs it, Act 1041 of 2021, defines a foreign LLC as an unincorporated entity formed under another jurisdiction's law, and that includes entities formed in other countries.
Filing online through the Corporations Online Filing System costs $270, paid by card or a monthly billing account. By paper the fee is $300, with a check payable to the Arkansas Secretary of State. The online price is the statute's $258 document fee plus a $12 processing fee. The Secretary of State says it completes most filings within two business days of receipt, a general statement and not something we can promise for yours.
FL-01 asks for the LLC's name (and a fictitious name for Arkansas if the real one is unavailable), the state or country of organization, the date organized and any termination date, the registered agent's name and street address, the office required in the home state or the principal office, the address of its principal office in Arkansas, and the name and title of at least one member or manager. It is signed under penalty of perjury and does not need a notary. Page two sets up the franchise tax account: a contact person, address, phone, email and federal tax ID, plus an affirmation that franchise tax is due by May 1 of the year after formation.
At our checkout the state's share shows as $270 and our own fee is $199, so $469 is due today.
Do your activities require it?
The Arkansas statute never defines "doing business." Section 4-38-905 instead names eleven things that do not count. Among them: litigation in any form, including mediation and arbitration; the company's own governance, such as member and manager meetings; bank and brokerage accounts; transfer offices for its securities; use of independent contractors to sell; taking orders that only become contracts when accepted elsewhere; borrowing, lending and taking security; collecting what is owed and looking after the collateral; a stand-alone deal that is not one of a series; holding title to property without anything more; and interstate commerce.
Being a member or manager of a foreign LLC that does business in Arkansas does not, by itself, put you in the same position (§ 4-38-905(b)). The section also notes it does not decide what contacts expose a company to service of process, taxation or regulation under other Arkansas law. If your activity looks like a regular local business, such as an office, employees or a steady run of customers, plan on registering. If it falls in a gray area, ask an Arkansas attorney.
A certificate no older than 30 days
Arkansas requires a certificate of existence, also called a good standing certificate, from the state or country where the LLC was formed. Item 8 of FL-01 says it must be issued by the Secretary of State or other official who has custody of the records there. The Secretary of State's published instructions add that it should be an original dated within the last 30 days, and the filing handbook repeats the 30-day window.
The home state's filing office issues it and sets its own price, and you need it on hand before the registration goes in. The statute and form themselves set no age limit; the 30 days is the Secretary of State's rule, so order the certificate shortly before filing. Arkansas does not ask for a certified copy of the formation document.
Name requirements and a fallback
The name must contain "limited liability company," "limited company," or one of L.L.C., LLC, L.C. or LC. "Limited" may appear as "Ltd." and "company" as "Co." It must be distinguishable on the Secretary of State's records, and it may not contain the name of a person who is not a member of the company (§ 4-38-112).
A name that is unavailable or does not comply can be replaced for Arkansas use by an alternate name, which FL-01 calls a fictitious name. The company's members adopt it by resolution and a copy goes in with the filing. A board resolution form is on the Secretary of State's site at no fee. A name reservation (form RN-06) is $22.50 online or $25 on paper and lasts 120 days.
The registered agent
Section 4-38-115 requires each registered foreign LLC to designate and maintain a registered agent in Arkansas under the Model Registered Agents Act. Naming an agent is an affirmation that the agent has consented to serve, and a business location in Arkansas is part of the deal.
Arkansas is open about who can serve. An agent can be a commercial registered agent listed with the Secretary of State, a noncommercial agent that is an individual or a domestic or foreign entity, or the title of an office with the business address of whoever holds it. The address must be an actual street address or rural route box number in Arkansas. The 2026 franchise tax instructions add that the agent must be located there, and that a post office box or mail drop may not be used.
If the LLC has no agent, service can be made by registered or certified mail to the company's governors at its principal office, and the Secretary of State may terminate the registration after a notice that takes effect at least 60 days later unless the problem is cured. A change of agent is on Form DO-03, with no fee.
The penalty ceiling and other consequences
Arkansas attaches a number to unregistered activity. Under § 4-38-913(e), a foreign LLC that transacts business without registering can be hit with a civil penalty capped at $5,000 per twelve-month period, counting a partial one, running from the day it began transacting business to the day it registers. The attorney general collects it in court, and the court issues an injunction on top of the penalty. The company stays enjoined until penalties, interest and court costs are paid and it has otherwise complied.
The company also owes the state the fees it would have paid had it registered, for each year or part of a year (§ 4-38-913(d)). Until it registers, it cannot maintain a lawsuit in an Arkansas court. Contracts remain valid, the other party keeps its right to sue, the company can defend a claim, and operating unregistered does not by itself make a member or manager answerable for the company's debts.
Every May 1 after you register
Arkansas does not have a separate annual report for LLCs. The annual filing is the LLC franchise tax report, filed with the Secretary of State, and foreign LLCs pay the same as domestic ones: $150, due on or before May 1. A first report is due by May 1 of the year following formation, so a registration in 2026 means a first report by May 1, 2027. Paying by card online adds a $5.00 processing fee. Extensions were eliminated in 1991, and a late report adds a $25 penalty plus interest.
Skipping it has teeth. Unpaid franchise tax can lead to revocation of the authority to do business, and Arkansas law bars any further filings with Business and Commercial Services while the tax is behind. Each January 31 the Secretary of State proclaims revoked the authority of delinquent companies for a prior year, with reinstatement possible within five years upon paying everything owed. The notice goes to the company's agent or another person it names, so give a contact on page two of FL-01 that you actually read.
Changes are filed on FL-02, the Application for Amended Certificate of Authority, at the same price as the original, $270 online. To leave Arkansas, file Form FL-04 for $45 online or $50 on paper, alongside a final franchise tax report ($150). The company must be current on franchise tax first. Other Arkansas tax registrations may apply depending on the business.
What we file and what you handle
Our part is preparing Form FL-01 from your answers and sending it to Business and Commercial Services. The Arkansas registered agent is free for your first year, then $149 annually. Legal papers served on the company get scanned and uploaded on the business day they arrive, free of charge.
That price pays for the registration and the first year of agent service. The yearly franchise tax report is not in it, nor is any other tax filing, so budget for that May 1 deadline. We are a filing service and not a law firm. Corporations are taken at the same checkout, and the figures come out identical to the LLC's: $469 today.
Frequently asked questions
How much is the Arkansas filing fee for a foreign LLC?
Filing FL-01 online is $270 and on paper is $300. Our checkout total today is $469, made up of our $199 and the state fee.
Is a good standing certificate part of the Arkansas filing?
Yes. FL-01 requires a certificate of existence from the home state, and the Secretary of State says it should be an original dated within the last 30 days.
How big can the penalty be for operating in Arkansas without registering?
Up to $5,000 for each twelve-month period or part of one, plus the fees you would have owed, and a court injunction until it is all paid. Until then the company has no right to bring its own case in an Arkansas court.
Who can be a registered agent in Arkansas?
Arkansas has no residency or entity-type rule beyond a place of business at a real street address in the state. A listed commercial agent, an individual, an entity or an office title can serve. A post office box does not work.
When is the Arkansas franchise tax report due for an LLC?
On or before May 1 each year, at $150. The first one is due by May 1 of the year after the LLC registers, and extensions are not available.
What is the Arkansas form for withdrawing an LLC?
Form FL-04, the Application for Cancellation by Foreign Limited Liability Company, is $45 online or $50 on paper. It goes in with a final franchise tax report of $150, and the LLC has to be current on franchise taxes.
What if my LLC name is already taken in Arkansas?
Register under a fictitious name for Arkansas use only, adopted by a resolution of the LLC's members and filed with the application.
Can I register a corporation the same way?
Yes. Our checkout takes corporations, and the numbers match what an LLC sees: $469 today.
