How to Change the Registered Agent for an Iowa Corporation

A registered agent change is not something you do on a whim, but several common situations require it. Any time the person or company responsible for receiving your corporation's legal documents changes — or their address changes — the Iowa record has to be updated.

The usual triggers

• Your current agent resigned. Agents can and do resign, and when they do, you have a limited window to name a replacement before the corporation is out of compliance.
• You are switching to a commercial service. Many owners start out as their own agent and later hire a service — to reclaim privacy, to stop worrying about being present for a process server, or because they moved out of state.
• You are leaving a commercial service. Maybe you switched providers or decided to serve as your own agent going forward.
• Your agent moved. If your individual agent relocated, the registered office address on file is now wrong and has to be corrected.
• You moved and were your own agent. If you served as your own agent and changed your home or office address, the registered office needs updating.

The through-line is simple: the state must always have a current, accurate way to reach your corporation with legal process and official notices. Any change that breaks that has to be filed.

Iowa handles registered agent changes through a Statement of Change filed with the Secretary of State. It is a distinct filing from your Articles of Incorporation and from your biennial report — updating one does not update the others.

• Your corporation's exact legal name as it appears on record
• The corporation's business identification number, if you have it, to locate the record
• The name of the new registered agent
• The new registered office — a physical Iowa street address, not a P.O. box
• Confirmation that the new agent has consented to serve

The consent point

An agent has to agree to serve — you cannot unilaterally name someone as your registered agent without their acceptance. When you switch to a commercial service, that consent is built into signing up with them. When you name an individual, make sure they have actually agreed and understand what accepting service of process involves.

Step by step

1. Log in or create an account on Fast Track Filing.
2. Locate your corporation by searching its name or business identification number.
3. Choose the change of registered agent filing for the entity.
4. Enter the new agent and registered office, exactly as they should appear on record. Double-check the street address.
5. Confirm the agent's consent as the form requires.
6. Pay any state fee and submit. The receipt card elsewhere on the site reflects current state charges; a simple change of agent is a low-cost filing, and we render fees from live data rather than quoting numbers here.

Iowa processes online filings quickly, typically within about a business day. Once the change is recorded, the new agent and registered office appear in the public business search, and legal notices will route to the new address going forward.

A registered agent change is simple, but a few avoidable errors trip people up and either bounce the filing or leave the corporation exposed.

Watch out for these

• Using a P.O. box. The registered office must be a physical Iowa street address. Listing a P.O. box will get the filing rejected.
• Naming an agent who has not consented. If the new agent has not actually agreed to serve, you have a problem the moment they are asked to accept a document.
• Assuming the biennial report updates the agent. These are separate filings. Filing your biennial report does not automatically change your registered agent, and changing your agent does not satisfy the biennial report.
• Letting a gap open up. If your old agent resigns before you name a new one, there is a stretch where the corporation has no valid agent. Line up the replacement before, or right as, the old one ends so there is no window with nobody on record.
• Forgetting internal records. Update your own corporate records to match the state filing, so your minute book and the public record tell the same story.
