Foreign LLC Registration Statement for Iowa
Iowa asks a company formed elsewhere to file a Foreign Registration Statement with the Secretary of State before it does business in the state. Iowa publishes no late fee and no penalty schedule for skipping it, but there are still reasons to register early. We prepare and file the statement, provide your Iowa registered agent, and put every cost on screen before you pay.

Where Iowa draws the line on doing business
The rule sits in § 489.902 of the Iowa Uniform Limited Liability Company Act: no business in Iowa until the foreign company registers. The chapter never defines that phrase. Section 489.905 offers eleven activities that do not count instead, and because it introduces them with the word "include," other activities may qualify as well.
Anything connected to a legal proceeding is exempt, whether you are defending, mediating, arbitrating, or settling. Running the company's own internal affairs is exempt, member and manager meetings included. Eight more are on the list: financial accounts, a securities transfer office, independent-contractor sales, orders that need acceptance elsewhere before they bind, borrowing or creating liens, going after unpaid debts and enforcing the collateral (including looking after property you recover), a lone transaction outside any series of similar ones, owning and maintaining property, and interstate commerce.
This section carries a caveat. It does not settle which contacts expose a foreign LLC to service of process, taxes, or other Iowa regulation. A company with a storefront, employees, or ongoing local jobs in Iowa should treat registration as expected rather than optional.
Filing the statement, and what it costs
The document is the Limited Liability Company Foreign Registration Statement, Form 635_0010, which the statute (§ 489.903) requires you to deliver to the Secretary of State. Iowa's older help pages and one note on the form still say "certificate of authority," but the statute and the fee schedule use the current name. The state's fee is $100, and the Forms and Fees page shows the same amount whether you file online or on paper. No card surcharge is stated.
Online filing runs through Fast Track Filing. You create an account, choose "Register a Foreign (Not Iowa) Limited Liability Company," upload the home-state certificate, sign electronically, then review and pay. Paper filers mail one copy of the form with the certificate and a check made out to the Secretary of State. Iowa reviews filings in date order and publishes no standard processing time.
The statement lists the company's name, the jurisdiction of formation, the street and mailing addresses of its principal office (plus any office its home state requires it to keep), and the name and Iowa address of its registered agent. A person authorized by the company signs it, and a notary is not needed. Be aware that what you submit becomes a public record under Iowa Code chapter 22. The effective date can be the filing date or a date up to 90 days later.
Our checkout adds the state's $100 to our $199, so the total today is $299.
A certificate of existence dated within 90 days
Iowa will not file the statement without proof that the company exists at home. Section 489.903(2) wants a certificate of existence, or something equivalent, authenticated by the official responsible for those records in the place of formation. The date matters: it cannot be older than 90 days when the filing is made.
Iowa has no way to issue this for you. Its own certificate page tells foreign companies to contact the state or country of formation for the original. That office sets the price, and the certificate must be in your hands before the Iowa filing goes in. You do not need to attach your formation documents.
Names and the alternate name
Section 489.112 sets the ending: the words "limited company" or "limited liability company," or the short forms LLC, L.C., and LC (with periods if you like). Iowa also checks the name against the Secretary of State's records of existing, reserved, registered, and fictitious names, and a restricted word needs approval from the agency that oversees it.
A name that falls short stops the registration until the company adopts an alternate name for use in the state (§ 489.906). The alternate name is entered on the same statement (item 1A on the form). Once registered, the company does business in Iowa under that name, or under its real name followed by its home jurisdiction. Holding a name beforehand through a reservation costs $10 and lasts 120 days.
The Iowa registered agent
Iowa expects every registered foreign LLC to appoint an agent and keep one (§ 489.115), and naming the agent is the company's affirmation that the agent agreed to serve. The one structural rule: the agent needs a place of business in Iowa. The statute sets no residency, age, or entity-type restriction. Iowa publishes no statement on whether the LLC may act as its own agent, so if you plan to name yourself, confirm that locally.
The agent forwards any process, notice, or demand to the company at the address most recently on file, and it must give notice before it resigns. If an LLC is left without an agent, service may be made by mail to the principal office shown on its latest biennial report (§ 489.119). Changing the agent later uses a statement of change, and the fee schedule lists no charge.
Limits on an unregistered company
Compared with many states, Iowa's remedies are modest. A foreign LLC doing business in Iowa cannot maintain a proceeding in any Iowa court until it registers (§ 489.902). Contracts it signed stay valid, it may still defend itself, and a missing registration alone does not strip members or managers of their liability protection. Separately, § 489.912 lets the attorney general bring an action to enjoin operations that violate the chapter.
Chapter 489 also contains no late fee, no back-fee charge, and no per-month penalty for registering late; the only fee for a foreign LLC to register is the one in § 489.122. The cost of waiting, then, shows up when you need to sue a customer or a vendor in an Iowa court and cannot, so registering before a dispute is the safer plan.
Biennial reports, upkeep, and leaving Iowa
Instead of an annual report, Iowa requires a biennial report from each registered foreign LLC (§ 489.212). It is delivered between January 1 and April 1 of every odd-numbered year, starting with the first odd-numbered year after the year you registered. The fee is $30 online or $45 on paper. The report confirms the company's name, its agent and the agent's street address, the principal office, and the home jurisdiction. Iowa notes that your registered agent starts receiving the notice in January of the filing year, and it states no late fee.
An unfiled report still has consequences. Once a report is sixty days late, the Secretary of State has the power to terminate the registration (§ 489.911), and the same power applies to unpaid fees and to a lapse in the agent for sixty days. A foreign LLC cannot reinstate afterward. The Secretary of State says it must register anew and receive a new business number.
One 2026 change may reach out-of-state LLCs that own Iowa farmland. Under House File 2678, effective July 1, 2026, an out-of-state business entity holding an interest in agricultural land in Iowa may have to file a landholding report alongside its biennial report. State tax registrations can also apply.
If something changes in the registration, the Amended Foreign Registration Statement costs $100. When you leave the state, the Statement of Withdrawal is $10. It confirms the company is not doing business in Iowa, revokes the agent's authority, and gives an address for process.
What Mainstay does
Send us the home-state information and the checkout answers, and the Form 635_0010 preparation and the Iowa filing are on us. Your Iowa registered agent comes at no extra charge for the first twelve months, then carries a price of $149 a year. Legal papers delivered to the agent reach you scanned and uploaded the same business day, and we charge nothing for that.
The amount charged today pays for the registration plus the opening year of agent service. The biennial report and tax filings are outside it, and our role is a filing company's, not a law firm's.
Foreign corporations can use the same checkout. The state fee is $100, so a corporation's total today is $299, identical to the LLC figures.
Frequently asked questions
What does Iowa charge to register a foreign LLC?
The Secretary of State's fee is $100, online or on paper. Our $199 on top brings the total today to $299.
Is a certificate of good standing required in Iowa?
Yes. Your home state's certificate of existence, dated within 90 days of the filing, is uploaded online or enclosed with the paper form. Iowa cannot issue it for you.
Does Iowa fine a company that registers late?
Chapter 489 lists no late fee or penalty. What an unregistered company loses is access to Iowa courts as a plaintiff, and it risks an injunction brought by the attorney general.
Who is eligible to be the agent of a foreign LLC here?
Iowa requires only that the agent has a place of business in the state and has agreed to serve. The statute sets no residency or entity-type rule. We provide the agent free for twelve months.
How often does a foreign LLC file in Iowa?
Every two years. The biennial report is due January 1 to April 1 of odd-numbered years, and it costs $30 online.
What if my registration is terminated for a missed report?
A foreign LLC cannot reinstate in Iowa. The Secretary of State says the company has to register again and will get a new business number.
How do I withdraw from Iowa?
File the Statement of Withdrawal. The fee is $10, and it states that the company is not doing business in Iowa and that its agent's authority is revoked.
Can a corporation use this service?
Yes. A foreign corporation pays the same $100 state fee through our checkout, for a total of $299 today.
