How to Change Your Nevada LLC's Registered Agent

A registered agent isn't a set-it-and-forget-it choice. Several common situations force or invite a change, and in most of them the change is time-sensitive.

Your agent resigned

A registered agent — whether a person or a commercial service — has the right to resign. When that happens, Nevada notifies the entity, and you're on a clock to name a replacement. Ignore it and your LLC ends up with no agent on file, which is a compliance failure.

Your individual agent moved or became unavailable

If you named a friend, employee, or co-owner as your agent and that person moves out of Nevada, changes jobs, or simply stops being reliably available during business hours, they no longer satisfy the requirement. You need to substitute someone — or something — that does.

You want privacy or reliability

Many owners start as their own agent to save the fee, then reconsider once their home address shows up in public searches or after they miss a delivery because they were traveling. Switching to a commercial agent removes your personal address from the record and guarantees the address is staffed.

You're consolidating

If you run several entities and want one agent handling all of them, moving each one to the same commercial service simplifies your compliance and puts all your state mail in one place.

File a Statement of Change

The mechanism is a Statement of Change of Registered Agent (or the equivalent change filed within your annual list workflow). You identify your LLC, provide the new agent's name and Nevada street address, and record the new agent's acceptance of the appointment. Once the state processes it, the new agent is official and receives everything going forward.

The new agent must consent

As with the original designation, the incoming agent has to accept the role. A commercial agent handles this as a matter of course — they provide the acceptance as part of onboarding you. If you're naming an individual, make sure they've agreed before you file.

No gap in coverage

The goal is a clean handoff with no period where your LLC has no valid agent. When you retain a commercial service, they typically coordinate the timing so the new designation is on file before or as the old one ends. A change of agent is routine, but a few things trip people up.

Don't leave your LLC uncovered

The single most important rule is to never let the old agent lapse before the new one is in place. A window with no valid agent is a compliance gap, and during that window a lawsuit or state notice could be served on an agent who no longer forwards your mail. File the change so coverage is continuous.

Update your own records too

Changing the agent with the state doesn't automatically update everything else. If your old agent also handled your mail or reminders, make sure your compliance calendar, your bank, and any licensing bodies know where to reach you now.

Watch the resignation clock

If your agent resigned, the change isn't optional and it isn't leisurely — Nevada expects a prompt replacement. Treat a resignation notice as urgent, not something to handle whenever you get around to it.
