Where Oklahoma draws the line on doing business

Registration comes first under 18 O.S. § 2043: no foreign LLC may begin transacting business in Oklahoma without it. The act never says what that phrase means. It offers § 2049, a list of twelve activities that do not count, prefaced by "among others." The Secretary of State adds a warning of its own: the office cannot decide whether your company fits an exception, and that call belongs to the LLC.

On the list: defending or settling a proceeding, member meetings and internal affairs, bank accounts, transfer offices for your own securities, selling through independent contractors, orders that only become contracts when accepted outside Oklahoma, taking on debt or security interests, collecting debts and running property taken as collateral, interstate commerce conducted wholly across state lines, selling or transferring title to property, a single isolated transaction finished within thirty days, and holding non-operating mineral or leasehold interests.

Subsection (B) is the catch. When a foreign LLC holds real estate or tangible personal property that earns income in the state (property the exceptions cover aside), the statute treats it as transacting business. A rental building or leased equipment can therefore require registration with no office or staff here. Serving as a member or manager of an Oklahoma business does not, alone, count as doing business.

The application and what it costs

The filing is the Application for Registration (Foreign Limited Liability Company), which appears as pages 3 and 4 of the Secretary of State's Form 0083 procedures packet. Approval produces a certificate of registration to transact business in Oklahoma. The state's fee is $300. The office accepts the application online, by mail, or hand-delivered at its Oklahoma City address.

Watch how you pay. A check, cashier's check or money order costs the filing fee and nothing extra, while a credit card, in person or online, adds a 4% service charge under 18 O.S. § 1142. Same-day handling is available for in-person delivery at an added state fee. No page we checked publishes a standard processing time.

On the form you give the LLC's name, home jurisdiction and original formation date, who the Oklahoma agent is and where, the office address required at home (or the principal office), and a primary contact email. The form also appoints the Secretary of State as agent if none has been named or the agent cannot be found. A member, manager or other authorized signer signs; no notary block appears. From November 1, 2026, the statute additionally asks for the agent's email address.

The $312 due to the state plus $199 for our preparation gives $511 on the checkout page today.

The 60-day home-state certificate

With the application goes an original certificate from the certifying officer in your home jurisdiction, attesting that the LLC is organized there. The state's form describes a certificate dated within the last sixty days and "most commonly known" as a certificate of good standing, a certificate of existence, or in Texas a certificate of fact. That 60-day limit comes from the Secretary of State's form and procedures, not from the statute.

Your formation state's filing office, typically its Secretary of State, issues it, and you should hold it before submitting. What it costs is that state's decision. Oklahoma does not request a certified copy of your formation document.

Names in Oklahoma

The name needs "limited liability company," "limited company," or LLC, LC, L.L.C. or L.C., and must not be the same as, or indistinguishable from, anything already on the Secretary of State's records: LLCs, corporations, partnerships, trade names, fictitious names and reserved names (§ 2008). Written consent or a court decree can override a conflict.

A foreign LLC registers under its home name when a domestic LLC could use it. When it could not, § 2045 allows the manager to adopt an available fictitious name that satisfies the naming rules, and that name replaces the true one for Oklahoma business. The Secretary of State's Form 0044 (Statement of Fictitious Name Report) is attached to the application, and no separate fee is stated for it. Reserving a name beforehand costs $10 for 60 days.

Registered agent rules and the state's $40 fallback

Section 2043(3)(c) restricts who can act as the agent named on the application: an Oklahoma-resident individual, or a domestic or qualified foreign corporation, LLC or limited partnership. The agent must maintain a business office that is the registered office, staffed in regular business hours to take service, and the address has to be physical, so a post office box is out. No signed consent from the agent is part of the filing.

Whether your own LLC may serve as its agent is left open by the statute. The Secretary of State's FAQ mentions the entity itself only for filings on behalf of an Oklahoma entity, so do not count on that route for a foreign registration.

The state keeps a fallback. If nobody has been appointed, the Secretary of State becomes the agent, and for that it charges $40 each July 1. Naming an additional registered agent means that charge does not apply. Changing the agent or office is SOS Form 0077, $25.

The cost of not registering

Section 2048 bars an unregistered foreign LLC that is transacting business from maintaining an action, suit or proceeding in an Oklahoma court until it registers. Its contracts and acts stay valid, it may defend any suit, and its members are not liable for company debts merely because it never registered. By operating without registration it also appoints the Secretary of State to accept process on claims arising out of its Oklahoma business.

In §§ 2042 to 2050, the fee statute and the fee schedule we found no late fee, penalty, back fee or interest for registering late. The Attorney General may sue to restrain an unregistered LLC from transacting business (§ 2050). Waiting therefore costs you court access and carries injunction risk, not a growing bill.

Annual certificate and leaving Oklahoma

Each registered foreign LLC files an annual certificate confirming it is active and giving its principal place of business address. It falls due on the registration anniversary, costs $25 (with the 4% charge on a card payment), and the Secretary of State emails a reminder at least 60 days earlier, only to the address on record. From November 1, 2026 the certificate must also give an email address.

More than 60 days late and the registration is deemed withdrawn on the sixty-first day after the due date, and the LLC cannot sue until it is reinstated. The same consequence follows an unpaid $40 agent fee. Reinstatement means filing every delinquent certificate and fee along with an application for reinstatement, which carries no fee of its own.

An outdated or false statement in the application is fixed with a certificate of correction, $100. Leaving the state takes the Application for Withdrawal (Form 0084), $100, which says the LLC is not transacting business in Oklahoma. Oklahoma tax registrations may apply separately.

What we handle

Give us the company details and the certificate from home. We put together the Application for Registration and send it to the Oklahoma office. An agent is named on it. The first year is on the house; after that it is $149 a year, and the $40 July fee does not arise. When papers are served on the agent, a scan reaches you the same business day, with nothing to pay for that.

Your payment covers the registration and the opening agent year. The annual certificate and tax work are outside it. Our role is filing paperwork, not practicing law.

Corporations can also use this checkout and see the LLC's state fee and bottom line unchanged, $511 today.

Frequently asked questions

What is Oklahoma's fee for registering a foreign LLC?

The Secretary of State charges $300, plus a 4% service charge when you pay by credit card. Our $199 is added at checkout, giving $511 today.

How recent must the home-state certificate be?

Dated within the last 60 days, according to the Secretary of State's form, and it must be an original from the office in the state of formation.

Does owning rental property in Oklahoma mean I must register?

Under § 2049(B), an LLC holding income-producing real or tangible personal property in the state, other than exempt property, is considered to be transacting business.

Does Oklahoma penalize registering late?

The statutes we checked set no late fee or penalty. Until the LLC registers it cannot sue in an Oklahoma court, and the Attorney General can seek an order stopping its business here.

Do I have to name a registered agent?

You may leave it off, but then the Secretary of State acts as agent and charges $40 each July. Naming an agent avoids that, and ours is free the first year.

What is the annual certificate?

A yearly filing on the registration anniversary confirming the LLC is active. It costs $25, and going more than 60 days past due withdraws the registration.

What if my LLC's name cannot be used in Oklahoma?

The manager adopts an available fictitious name with Form 0044, attached to the application, and the LLC uses that name for Oklahoma business.

How do I withdraw from Oklahoma?

File Form 0084, the Application for Withdrawal, with a $100 fee.
