Income-producing property here counts as doing business
West Virginia's test for "transacting business" has a twist that most states lack. Under § 31B-10-1003(b), an LLC that holds income-producing land, buildings, or tangible personal property here is transacting business, other than property the statute's own list leaves out. An out-of-state LLC that owns a rental house, a commercial building, or equipment it leases out in West Virginia should read that line closely.
Otherwise the starting point is simple: no out-of-state company may transact business in West Virginia without first obtaining a certificate of authority, though the statute leaves the phrase undefined. Twelve activities are named as not counting.
Section 31B-10-1003(a) lists them. Handling or settling a proceeding comes first, then owner or manager gatherings and other internal matters, bank accounts, and the company's own securities transfer offices or depositories. The list continues with independent-contractor sales, orders that a buyer's acceptance elsewhere finalizes, creating debt or mortgages or security interests, and collecting debts or holding property acquired that way. A single transaction wrapped up in thirty days and unlike a run of similar deals qualifies, as does interstate commerce.
Two entries are unusual. Applying for withholding tax on an employee who lives in West Virginia but works for the company in another state is on the list, so that one registration alone does not pull you in. So is holding stock in a corporation authorized in West Virginia, as long as your company does not produce goods, services, or otherwise conduct business here. Keep the income-producing property rule above in mind when you read the list.
An exemption certificate may be the cheaper path
Some companies are not required to hold a certificate of authority but still need paper to prove it. West Virginia offers an Exemption from Certificate of Authority for $25 for an LLC. The application names which item of § 31B-10-1003 applies to you. This matters because the instructions say a company cannot obtain a business license, workers' compensation or unemployment insurance, or other licenses and permits until it has either an exemption or a certificate of authority.
If your West Virginia activity is limited to something on the list above, the exemption may fit better than the full application. If you have an office, staff, or regular operations, you want the certificate of authority.
Filing Form LLF-1
The form is LLF-1, revised 09/2026. The Secretary of State points foreign companies to its One Stop Business Portal for online registration, and the Business & Licensing Division is in Charleston. The Secretary of State's fee for an LLC is $150. Online filings carry a separate $1 processing fee. Our checkout adds $199 for the work, and today's total is $350.
The application asks for the LLC's name, home state or country, and principal office with county. It asks for the members or managers and the purpose of the company, and it requires an email address where annual report reminders can go. If the member or manager information is missing, the state rejects the application. A member or manager with signing authority signs it, and it is a public document.
The order request attached to the form lists standard handling as 5 to 10 business days at no added cost. That is the state's own description of its standard service.
The home-state certificate, and your name
Section 31B-10-1002(b) wants an existence certificate (or a comparable record) that whoever holds your company's records back home has authenticated. Form LLF-1 asks you to check a box confirming you attached a certificate of existence (good standing) dated during the current tax year. That is a different test from the 30-, 60-, or 90-day windows other states use: it is tied to the year, not a number of days.
The home state issues it, and its fee is set there. Have it on hand before you submit.
On names, the designator can be spelled out as "limited liability company" or "limited company" or shortened to a form such as LLC or L.C. The name must also be distinguishable from corporations, limited partnerships, and LLCs organized or authorized in West Virginia, and from reserved and registered names (§ 31B-10-1005).
When your real name is unavailable, the company must use a fictitious name, and filing it requires a copy of the resolution of the managers or members adopting that name. The instructions are firm that a forced DBA name will not be accepted without the resolution attached. Reserving a name costs $15 for 120 days.
The agent for service of process
West Virginia is unusual in that an agent is optional. Section 31B-1-108 says a foreign LLC authorized here may maintain an office and an agent and address for service, and the application asks for the agent only "if any." If you name one, the choices are a West Virginia resident individual, a domestic corporation, another LLC, or an outside corporation or company that is authorized here. So an LLC is allowed to act as someone else's agent.
Name nobody and the Secretary of State stands in as the company's recipient of process. It mails any process by registered or certified mail to the last agent designated, or to the principal office. The principal office address on the form is where the state mails all its correspondence, so keep it current. A change of agent or office is filed on Form AAO for $15.
What skipping it costs
West Virginia attaches no late-registration fee or civil penalty to operating without a certificate. The consequences are procedural. Without the certificate, a company transacting business in the state cannot start or pursue a case in West Virginia courts (§ 31B-10-1008(a)). Its contracts are not invalidated, it can still defend itself, and the liability shield of managers and members survives the missing paperwork.
Two more points. Operating this way also means lawsuits tied to its business here can be served on the Secretary of State. And under § 31B-10-1009 the Attorney General can bring an action to stop it from continuing.
Annual report, biennial option, and tax registration
A foreign LLC pays a $25 annual report fee by 11:59 PM on June 30. Received after June 30, the total rises to $75, because of a $50 late fee, and there is a $1 online processing fee on top of any online filing. Starting July 1, 2026, an LLC that has filed five consecutive annual reports on time may elect a biennial report instead, for $50.
Fail to pay what you owe, skip the report for 60 days past due, or leave an agent change unreported, and the state can revoke the certificate after at least 60 days' notice. Cure it within the notice period and it stays. Reinstatement within two years needs a Tax Commissioner certificate.
Separately, anyone engaging in business in West Virginia registers with the State Tax Division ($30 for the business registration fee), and the Form LLF-1 instructions add that a Secretary of State filing alone does not qualify you to do business, because you also need a business license from the Department of Tax and Revenue. To leave, you cancel or withdraw, which costs $25 plus $1 if filed online. Until the state issues a certificate of cancellation, the LLC stays liable for taxes, fines, penalties, and interest.
What we do for you
From your answers we fill out Form LLF-1 and send it to the state. The agent for service of process is free for twelve months and renews at $149 each year. When papers are served on that agent, they are scanned and added to your account the business day they come in, and we charge nothing for it.
Your $350 today covers the filing and that first agent year. The annual report, the Tax Division registration, and tax filings are not included. Our role is preparing and submitting filings, and we do not give legal advice.
Corporations check out the same way and land on the same $350. A corporation that later withdraws faces the two-year tax clearance wait the state applies to corporations, which an LLC does not.
Frequently asked questions
What does West Virginia charge for a foreign LLC certificate of authority?
The Secretary of State's fee is $150, plus a $1 processing fee when you file online. Including $199 for our part, you pay $350 now.
Does owning a rental property in West Virginia mean I must register?
It points that way. Section 31B-10-1003(b) treats income-producing land, buildings, or tangible personal property in West Virginia as transacting business, apart from the property its list excludes.
What is the exemption certificate?
It is a $25 filing that some companies make instead of applying for a certificate of authority. The application cites the item in § 31B-10-1003 that applies, and the state says you need either the exemption or a certificate of authority before getting a business license.
How current does the home-state certificate need to be?
Form LLF-1 asks you to confirm it was dated during the current tax year. By statute the document is an existence certificate or comparable record, and your home state issues it.
Do I need an agent for service of process in West Virginia?
The statute makes it optional. If you name none, the Secretary of State acts as the company's agent for service. We provide one, free for the first year.
When is the annual report due?
By June 30 each year, at $25, or $75 if received after June 30 because of a $50 late fee. An online filing adds a $1 processing fee.
How much does it cost to withdraw?
Cancelling or withdrawing a foreign LLC is a $25 filing, plus $1 if you file online.
