No home-state certificate, but a penalty formula for late filers

Two things set Wisconsin apart. First, Form 521 wants no good standing certificate, no status certificate, and no copy of the articles you filed back home. All it wants from the home state is the jurisdiction whose law governs you and a statement that you are a foreign LLC, and s. 183.0903 lists nothing beyond that. If another state's checklist sent you hunting for a certificate, you can skip that step here.

Second, the cost of registering late is spelled out in a formula on the form itself, and it is worth understanding before you decide how long to wait. That formula is covered under "The cost of waiting" below.

When registration is required

Section 183.0902(1) bars a foreign LLC from doing business in Wisconsin until the department has its registration. "Doing business" is never defined. Section 183.0905(1) instead names eleven activities that do not count, and it introduces them with "include all of the following."

Here they are in short form. Litigation, mediation, arbitration, and settling claims. Internal affairs, with member and manager meetings as the example. Financial-institution accounts. Securities transfer offices and depositories. Selling through independent contractors. Orders needing acceptance beyond Wisconsin's borders to become contracts. Debt, mortgages, and security interests, along with collecting and enforcing them and holding the property involved. A lone transaction outside any repeating pattern. Owning property "without more." Interstate commerce.

Holding a membership or a manager seat in a foreign LLC that operates here is not, alone, doing business for yourself. The section also leaves open what exposes a company to suits, taxes, or other state regulation. Form 521 points you to s. 183.0905 at the question about transacting business before registering, so read it with your own facts in front of you.

Completing Form 521

The form is mandatory, four pages, and the revision is dated May 2026. You file with the Department of Financial Institutions rather than a Secretary of State, either online through DFI's File Online system or on paper by mail to its Milwaukee box. The state fee is $100. The department lists the same fee for the online route and the paper route, though payment options differ: online filings can pay by ACH or card, and paper filings go with a check or money order.

The form asks for the company's name, a fictitious name if the real one is not distinguishable, the jurisdiction whose law governs it, and the registered agent's name, email address, and Wisconsin street address. It also asks for the principal office, which may be outside Wisconsin, a mailing address, any office required by home-state law, and whether the company transacted business in Wisconsin before registering. One person authorized by the company signs, with no notary. Once filed, the information is public.

For online filings DFI says it generally accepts them on receipt and sends notice immediately, with a confirmation by email only. The registration takes effect at the close of business on the day it is received, or you can choose a delayed date as much as 90 days ahead. No standard time is stated for paper. At our checkout, $199 for our part plus the state's charge gives a total of $299.

Names

Section 183.0112 requires "limited liability company," "limited company," "LLC," or "LC" in the name. Variations in capital letters and punctuation are fine, and Ltd. and Co. are allowed. The name also has to be distinguishable on the department's records from existing entities and reserved names.

If it cannot be registered as is, s. 183.0906 says you adopt a fictitious name just for Wisconsin and, after registering, do business here only under that name. The fictitious name needs the same designator and goes in item 2 of the form at no extra charge. DFI's records database offers a preliminary check, but its FAQ warns that no name is available until you have written confirmation. A name reservation lasts 120 days and costs $15.

Registered agent rules

Under s. 183.0115 a registered foreign LLC must always have both an agent and an office on Wisconsin soil. When you name the agent you are affirming that the person agreed to take the job. The office is a physical spot with a street address; a post office box, mail drop, or answering service will not do.

An individual agent lives in Wisconsin and works from the registered office. A Wisconsin corporation, LLC, or partnership qualifies if its business office is that same address, and so does an out-of-state one authorized here. Whoever serves needs an email address and a place of business or activity in the state. The company cannot name itself. DFI directs annual report forms, notices, and other official mail to the agent. Swapping the agent or the office takes Form 13, which costs $10 filed online and $25 on paper.

The cost of waiting

Until it registers, a foreign LLC that has been doing business here may not start or continue a lawsuit in Wisconsin (s. 183.0902(2)). Its contracts, its title to property, and its ability to defend a case stay intact, and a missing registration by itself does not strip members and managers of their liability shield. The Attorney General may sue to enjoin the company (s. 183.0912).

The money part is distinctive. For every year, or piece of a year, spent operating unregistered, the company owes what registering and reporting on time would have cost, plus a penalty of 50 percent of that total or $5,000, whichever is smaller. The department may not file the registration until this is paid. Form 521 gives you a supplement that works it out: count the calendar years before the current one, treating partial years as full, and multiply by $97.50, which is the annual report fee plus the 50 percent penalty. A company that began in 2024 and registers in 2026 counts two years, or $195, added to the filing fee. If you register in the same calendar year you started, the earlier-year charge is zero.

Annual report, changes, and leaving

A registered foreign LLC delivers an annual report to the department during the first calendar quarter of each year after the year it registered, so the window runs January 1 to March 31. Filing it online costs $65, while paper costs $80. It names the registered agent and email, the principal office, and one member or manager. DFI emails the notice of the filing requirement.

An LLC that fails to file within four months after it is due, or goes six months without a registered agent or office, can be terminated, after written notice to the agent and 60 days to fix it. Reinstatement within six months of termination requires paying the fees and penalties due, up to $5,000. An amended registration statement costs $40, and the other state tax registrations that may apply depend on the business.

To leave, file Form 524, the withdrawal of registration, for $40. The LLC affirms that it is not doing business in Wisconsin, consents to service for claims that arose while registered, and says whether the agent's authority is revoked.

What we handle, and what we don't

Hand us the company's details and our team fills in Form 521 and delivers it to the department. We act as your Wisconsin agent for the opening twelve months without charge, then at $149 per year. Whatever is served on the agent lands in your account as a scan within the business day, free.

The $299 you pay now pays for the filing and that opening agent year. It does not cover preparing your annual report or any tax filings. Mainstay prepares and files documents; it does not practice law.

A corporation goes through this checkout as well and sees the same figure, $299.

Frequently asked questions

What does it cost to file Form 521?

The department's fee is $100. With our $199 added, the figure at checkout is $299. If the company already did business here before registering, the form's supplement adds a per-year charge.

Must I bring a good standing certificate from the home state to Wisconsin?

No. Form 521 asks only for your governing-law jurisdiction and a statement that you are a foreign LLC. Neither the form nor s. 183.0903 requires a certificate or a copy of the formation documents.

How is the late-registration charge worked out?

Take the calendar years before the present one in which the company operated here unregistered, count a partial year as whole, and multiply by $97.50. That figure is the annual report fee plus a 50 percent penalty. Under the statute, the penalty part is 50 percent of the fees due or $5,000, whichever is less.

Can I serve as my own registered agent in Wisconsin?

No, the entity may not name itself. The agent needs a Wisconsin place of business and an email address, and the registered office has to be a physical street address.

When is the Wisconsin annual report due?

It falls between January 1 and March 31 of each year after the one in which you registered. Online it is $65; by mail it is $80.

What happens if I miss the annual report?

If it is not filed within four months of the due date, the department can start termination after written notice to your agent. You then have 60 days to correct it, and reinstatement is possible within six months of termination.

How do I withdraw from Wisconsin?

File Form 524 with a $40 fee, affirming that the LLC is not doing business in Wisconsin and consenting to service for claims arising while it was registered.
