How to Change Your Wisconsin LLC Registered Agent

Changing your registered agent is not a sign that something went wrong. It is a normal part of a company's life. A few situations account for most changes.

Your current agent is moving on

If you named an individual (a partner, an employee, a friend), and that person leaves the company, moves out of Wisconsin, or simply no longer wants the responsibility, you need a replacement. In Wisconsin, you change your registered agent by filing a Statement of Change with the Department of Financial Institutions. The relevant form is DFI Form 13, the Statement of Change of Registered Agent or Registered Office. It is a short filing, and it is the only way to make the change official; updating your own records or telling your old agent is not enough.

What the Statement of Change captures

• The LLC's exact legal name: it has to match the name on record with the DFI precisely.
• The new registered agent's name and email address: the individual or entity taking over. Under s. 183.0115, every agent must have an email address and a place of business or activity in Wisconsin.
• The new registered office address: an actual physical location with a Wisconsin street address, not solely a P.O. box, mailbox service, or answering service.
• The new agent's agreement: don't name anyone who hasn't agreed to serve. When you use a commercial service, that agreement is part of signing up with them.

Where and how to file

You submit the Statement of Change to the DFI's Division of Corporate and Consumer Services, online from the DFI File Online page or on paper using the form from the DFI forms page. The state fee is $10 online or $25 on paper, which is modest compared to the cost of falling out of compliance. (Older guides point to wdfi.org; that domain no longer works.)

Processing and confirmation

The DFI says most online filings are accepted on receipt. Once the DFI processes the Statement of Change, the new agent and registered office appear on the public record, and the change takes effect. Verify it went through by pulling up your entity in the DFI corporate search and confirming the new agent information is showing.

The single most common mistake is creating a gap in your registered agent coverage. To avoid it, get the new agent lined up before you remove the old one.

Line up the new agent first

If you are switching to a commercial service, sign up with them and confirm they will act as your Wisconsin registered agent before you file anything. That way, the moment the change takes effect, there is a valid agent in place with no interruption.

File promptly when an agent resigns

Courts treat proper service on the registered agent of record as service on the company, whether or not the documents ever reached you. Keeping the agent current is what protects you from that scenario.

You miss DFI notices and fall delinquent

State notices only help if they reach a real, attentive recipient. If they don't, the annual report can slip and the LLC can go delinquent. The DFI says delinquency is cured by filing a current annual report and paying the back report fees, but if a report is still missing a year after it was due, the DFI can give written notice and, after 60 days, administratively dissolve the LLC.

Reinstatement is the hard way back

A dissolved LLC can only wind up its affairs until it is reinstated, which means curing whatever caused the dissolution and paying the fees owed before good standing returns. All of it is avoidable by filing a short Statement of Change when your agent situation changes.
