Change the Registered Agent for a West Virginia Limited Partnership

The new agent must consent

The mechanics of a registered agent change are similar across entity types, but a couple of points are worth flagging for an LP.

The general partner signs

Because the general partner is the managing party with authority to act for the partnership, the general partner (or an authorized organizer) signs the change filing. Limited partners don't sign — and shouldn't need to be involved in this administrative step, consistent with their passive role.

Keep the rest of the certificate honest while you're at it

If the reason you're changing agents is that a general partner left or the principal office moved, those facts probably need to be reflected in the certificate too. When you're already amending the record, it's a good moment to confirm the general partner list and principal office are still accurate, so you're not filing again a month later.

Don't confuse this with a change of principal office

Changing your registered agent updates who receives legal mail and where. It does not, by itself, change your partnership's principal office address, its general partners, or anything in your limited partnership agreement. Those are separate updates — some public (via certificate amendments), some purely internal.
